This understanding is based on the rule under Article 236 of the Bulgarian Obligations and Contracts Act (OCA), according to which, if the tenant remains in the property after the expiry of the lease term and the landlord does not object, the agreement is deemed to continue for an indefinite period.

However, this rule does not apply to lease agreements concerning municipal or state-owned properties. In such cases, the administration’s silence does not constitute consent and may result in serious legal consequences for the tenant.

Why Are the Rules Different?

Unlike leases of privately owned properties, the leasing of state-owned and municipal properties is governed by specific legislation.

The Municipal Property Act and the State Property Act provide for special procedures for leasing such properties, which in most cases require a tender or competitive procedure.

The automatic extension of a fixed-term lease would circumvent these statutory procedures and could create conditions for a lack of transparency in the management of public property. For this reason, the requirement for written form in such agreements is not merely evidentiary but is a condition for their validity.

What Does the Case Law Say?

Bulgarian case law has consistently held that the rule under Article 236 of the OCA does not apply to fixed-term lease agreements concerning municipal or state-owned properties.

Once the agreed term expires, the lease does not automatically become an indefinite-term agreement. If the parties wish to continue the relationship, this must be done through an express written instrument, such as an annex or a new agreement, where permitted by law and following the applicable procedure.

What Are the Risks of Remaining in the Property Without a Valid Lease?

If the lease term has expired and no new agreement or annex has been concluded, this may lead to serious consequences.

Order to Vacate the Property

The mayor or regional governor may issue an administrative order for the repossession of the property.

In certain cases, the property may be vacated with the assistance of the Ministry of Interior authorities without the need for lengthy court proceedings.

Compensation Instead of Rent

After the lease expires, the person occupying the property no longer owes rent but may instead owe compensation for use of the property without a valid legal basis.

The amount of such compensation may be higher than the rent previously agreed and does not provide the rights arising from a valid lease agreement.

Issues Concerning Improvements to the Property

Where a tenant has made improvements to the property, the absence of a valid lease agreement may significantly complicate the possibility of claiming reimbursement for their value.

What Should You Do Before Your Lease Expires?

Tenants of municipal and state-owned properties should not wait until the final days before their lease expires.

It is advisable to conduct a legal review in advance to determine:

whether the agreement allows for an extension or amendment;

whether a new tender or competitive procedure is required;

which documents need to be prepared;

which deadlines must be observed under the applicable legislation and relevant municipal regulations.

In many cases, preparations should begin several months before the lease expires in order to avoid an interruption of the legal relationship.

Conclusion

In the case of fixed-term lease agreements concerning municipal or state-owned properties, tenants should not rely on the general rule under the Obligations and Contracts Act regarding the automatic continuation of a lease. Unlike private-law relationships, these leases are subject to specific rules requiring compliance with particular procedures and written form.

Missing a deadline or incorrectly assessing the legal situation may result in repossession of the property, additional financial liabilities and other adverse consequences.

If you are a tenant of municipal or state-owned property and your lease is approaching its expiry date, consulting a lawyer specialising in property and administrative law can help you protect your interests and avoid unnecessary risks.
